NOTICE OF A SPECIAL MEETING OF THE BOARD OF DIRECTORS OF
SMITH METROPOLITAN DISTRICT NO. 3
NOTICE IS HEREBY GIVEN that the Board of Directors of the Smith Metropolitan District No. 3 (the “District”), City and County of Denver, Colorado will hold a special meeting on Tuesday, June 9, 2026 at 12:00 p.m. at the offices of McGeady Becher Cortese Williams P.C., 450 E. 17th Avenue, Suite 400, Denver, Colorado 80203 and via video/telephonic means. Members of the public are encouraged to participate by video/teleconference as outlined below. There will be at least one person physically present at the meeting location.

At this meeting it is anticipated that the Board of Directors of the District will make a final determination to issue general obligation indebtedness. Specifically, the District intends to consider the adoption of a resolution authorizing the issuance of Junior Lien Limited Tax General Obligation Bonds, Series 2026C in the approximate aggregate principal amount not to exceed $30,000,000 (the “Series 2026C Bonds”), for the purpose of paying, reimbursing and financing certain public improvements. The resolution will also authorize the execution of an indenture of trust, a placement agent agreement, and all other related agreements, documents, instruments, certificates, and actions necessary or appropriate in connection with the issuance of the Series 2026C Bonds; making determinations and findings as to other matters related to such transaction; authorizing incidental actions; and repealing prior inconsistent actions.
Also at such meeting, the Board will take up such other business as may come before the Board, including the items listed on the attached Agenda. The meeting is open to the public.
NOTICE IS FURTHER GIVEN THAT pursuant to the Supplemental Public Securities Act, no legal or equitable action brought with respect to any legislative acts or proceedings in connection with the authorization or issuance of such bonds may be commenced more than thirty days after the authorization of such bonds pursuant to the aforementioned resolution.
Pursuant to the provisions of the Supplemental Public Securities Act, one or more members of the Board may participate in this meeting and may vote on the foregoing matters through the use of a conference telephone or other telecommunications device.
This notice is given by the order of the Board of the District.

I. ADMINISTRATIVE MATTERS

D. Review and consider approval of minutes of the April 21, 2026 special meeting (enclosures).
II. FINANCIAL MATTERS
A. District No. 3 – Ratify the Engagement Agreement SEC Post-Issuance Services between the District No. 3, IMKD 8 LLC and Digital Assurance Certification (DAC) (enclosure).
B. District No. 3 – Discuss and consider the engagement of MuniCap, Inc. for Independent Registered Municipal Advisor services, if necessary.
C. District No. 3 – Discuss and consider the engagement of Casey Parrot LLC as District Bond Counsel, if necessary.
D. District No. 3 – Discuss and consider approval of Confirmation of Terms Agreement (2026C(3) Junior Lien Bonds) Agreement by and between Smith Metropolitan District No. 3 and IMKD 8 LLC (enclosure).
E. H. District No. 3 - Discuss and consider adoption of the Guidelines for Payment of Public Improvements Fees within Link 56 (enclosure).
I. District No. 3 – Review and consider adoption of Resolution No. 2025-05-01 Regarding Continuing Disclosure Policies and Procedures related to the 2026 Bonds (enclosure).
